1 Eligibility

• You must be 18 years or older to use WERN.
• Users under 18 may only use the Service with parental consent.
• You represent that you have the legal capacity to enter into this agreement.
• WERN may refuse service to any user at its discretion, subject to applicable laws.

2 User Accounts

By creating an account, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Be fully responsible for all activities under your account
• Immediately notify WERN of unauthorized access
• Not sell, trade, or transfer your account
• Not register multiple accounts for misuse or manipulation
• Comply with UAE's Cybercrimes Law, data regulations, and other applicable global standards (GDPR, COPPA where applicable)

3 Permitted & Prohibited Use

You agree to use WERN only for lawful purposes. You may NOT:

• Interfere with platform integrity, servers, or networks
• Attempt to hack, reverse engineer, or bypass system protections
• Manipulate step counts, location, engagement, or reward-earning mechanisms
• Use VPNs, bots, emulators, scripts, or automation tools
• Create fake accounts, fake reviews, or artificial traffic
• Upload violent, harmful, sexual, hateful, or fraudulent content
• Harass, threaten, stalk, or endanger other users
• Circumvent geo-restrictions or platform rules
• Violate any UAE, GCC, or international law, including intellectual property, data protection, and anti-fraud laws

4 Rewards, Coins, Points & Gamification

WERN rewards include, but are not limited to, Litties, Impact Coins, badges, points, challenges, tasks, or any future digital rewards.

• Rewards hold no monetary value unless officially denominated by WERN.
• Rewards do not constitute financial instruments, securities, digital assets, or guaranteed earnings.
• WERN may modify, adjust, delay, or cancel rewards without notice.
• Rewards may be forfeited due to rule violations, fraud detection, or account termination.
• WERN may introduce blockchain-based or token-based features, subject to regulatory approvals and compliance with UAE Virtual Asset Regulatory Authority (VARA) or ADGM regulations.
• WERN is not liable for loss of rewards due to device malfunction, account issues, or user error.

5 Social Impact & Impact Coins

Impact Coins (EcoCoins, AquaDrops, GrainCoins, GlowTokens, BloomCoins):

• Are symbolic representations of social contribution
• Do not represent ownership of any real-world asset
• Are subject to program availability, verification, and third-party partnerships
• May be discontinued, modified, or converted subject to compliance and operational needs

6 Brand & Retail Partner Participation

Brands and partners are solely responsible for their offers, ads, campaigns, challenges, and promotions.

WERN is not liable for:

• Incorrect offers
• Out-of-stock items
• Brand misrepresentation
• Financial loss or disputes between users and brands

WERN acts only as a facilitator, not a seller, agent, or guarantor. Commercial agreements with brands are governed separately.

7 User-Generated Content (UGC)

By posting content:

• You grant WERN a worldwide, royalty-free, perpetual license to use, reproduce, modify, distribute, and display the content
• You represent that you own or have rights to the content
• You accept WERN's right to remove content that violates laws or these Terms
• You acknowledge that misuse of UGC can result in legal action under UAE's Cybercrime and Anti-Defamation laws

8 Data Collection, Privacy & Security

WERN processes personal data in line with:

• UAE Federal Data Protection Law (2021)
• GDPR (EU)
• CCPA (California)
• Industry standards for mobile data protection

• Device activity, movement data, location (when enabled)
• Engagement behavior
• Interaction analytics with brands and challenges
• Device identifiers and usage statistics

8.2 How We Use Data

• Delivering rewards
• Improving features
• Matching relevant campaigns
• Fraud prevention
• Safety features (SOS, proximity alerts)

8.3 Data Security

WERN implements:

• Encryption
• Access controls
• Audit logs
• Fraud and anomaly detection
• Secure cloud hosting

8.4 Data Sharing

WERN may share aggregated or anonymized data with partners but never sells personal data.

9 Subscriptions & Payments

For Brands & Corporates

• All payments must be completed upfront unless contractually agreed
• Fees are non-refundable except per WERN's policy
• Failure to pay may result in suspension of campaigns
• WERN is not responsible for brand-side losses due to campaign performance

For Users

• Premium subscriptions are optional
• Subscription fees are non-refundable unless required by consumer protection laws
• Auto-renewal terms will be disclosed at purchase
• Payment disputes must first be reported to WERN before reaching payment providers

10 Location & Proximity Features

Enabling GPS allows access to features like:

• Walk tracking
• Proximity interactions
• Store check-ins
• Safety alerts

11 Referral Program

• Referral rewards are subject to verification
• Fake, duplicate, or manipulated referrals lead to forfeiture
• WERN may modify the program at any time

12 Intellectual Property

All WERN content, code, algorithms, logos, and assets belong to WERN. Copying, scraping, reverse engineering, or unauthorized commercial use is strictly prohibited.

Violations may be pursued under:

• UAE Copyright Law
• GCC Trademark Law
• International IP treaties (Berne Convention)

13 Disclaimers

WERN provides the Service "AS IS" and "AS AVAILABLE."

WERN does not guarantee:

• Availability, stability, or uninterrupted access
• Accuracy of partner offers
• Specific levels of reward earnings
• Continuous compatibility with all devices
• Safety or performance of third-party services

14 Limitation of Liability

To the fullest extent allowed by UAE and international law:

• WERN is not liable for indirect, incidental, special, or consequential damages
• WERN's total liability shall not exceed the amount paid by the user in the past 12 months, or AED 0 for free users

15 Indemnification

You agree to protect, defend, and indemnify WERN from claims, losses, damages, penalties, legal fees, or liabilities arising from:

• Your misuse of the platform
• Violation of these terms
• Breach of applicable laws
• Third-party or brand disputes
• Infringement of rights of others

16 Account Suspension & Termination

WERN may suspend or terminate accounts for:

• Fraud or manipulation
• Exploiting platform mechanics
• Violating laws
• Abusing proximity or safety features
• Damaging WERN's reputation or system integrity

17 Dispute Resolution

Disputes shall be resolved through:

• Internal resolution via WERN Support
• Mediation if agreed
• Courts of Abu Dhabi, UAE, unless otherwise required by law

18 Force Majeure

WERN is not liable for failures caused by events beyond reasonable control, including:

• Natural disasters
• War, riots
• Cyberattacks
• Government restrictions
• Network outages

19 Governing Law

These Terms are governed by:

• UAE Federal Laws
• Abu Dhabi Local Regulations
• International commercial contracting principles

20 Severability

Invalid or unenforceable provisions do not impact remaining clauses.

21 Entire Agreement

These Terms and the Privacy Policy constitute the complete agreement between you and WERN.

22 Amendments to Terms

WERN may update these Terms. Material changes will be communicated via email or in-app notification 30 days prior.
